1. Definitions
Throughout this document the following terms carry specific meanings:
- "Agreement" means these Terms and Conditions together with any supplementary documents referenced herein.
- "Service" means the sablefins AI hardware knowledge community platform, including discussion areas, resource shelf, and all associated member features.
- "Member" / "User" / "You" means any individual or organisation that has registered for or is accessing the Service.
- "We" / "Us" / "Our" means sablefins, operating at Jalan Tun Razak 96, 50400 Kuala Lumpur, Wilayah Persekutuan, Malaysia.
- "Content" means any text, links, files, discussion posts, or other material contributed by Members or provided by sablefins within the platform.
- "Membership Plan" means whichever of our Community Membership, Mentor Circle, or Community Partner Plan you have enrolled in.
2. Acceptance of Terms
By registering an account, completing a membership enrolment, or otherwise accessing the Service, you confirm that you have read, understood, and agree to be bound by this Agreement.
You must be at least 18 years of age and have the legal capacity to enter a binding agreement under the laws of Malaysia. If you are enrolling on behalf of an organisation, you represent that you are authorised to bind that organisation to this Agreement.
If you do not accept these Terms, please do not access or use the Service.
3. Service Description
sablefins operates as an AI accelerator knowledge community focused on AI hardware literacy. The Service provides members with:
- Access to discussion areas for practitioner conversations on AI hardware topics.
- A shared resource shelf containing curated reading materials and community notes.
- Member-only reading threads and knowledge-sharing spaces.
- Structured peer-learning formats (Mentor Circle) for eligible plan holders.
- Organisational team access and private discussion spaces for partner organisations.
Service availability is generally maintained during regular operating hours, though we may carry out maintenance or updates from time to time. We aim to provide reasonable advance notice of extended outages.
The Service is offered to members resident or registered in Malaysia and internationally, subject to local laws applicable to each member.
4. Member Accounts
To access the Service, you are required to register an account using accurate and complete information. You are responsible for maintaining the confidentiality of your login credentials.
You agree to:
- Keep your account details current and accurate.
- Not share your login credentials with any third party.
- Notify us promptly at [email protected] if you suspect unauthorised use of your account.
We reserve the right to suspend or close accounts where there is evidence of misuse, inactivity over an extended period, or failure to comply with these Terms.
5. Member Responsibilities
You agree to use the Service in a manner that is respectful, lawful, and consistent with the community spirit of open knowledge sharing.
Acceptable use includes:
- Sharing learning resources, insights, and experiences relevant to AI hardware topics.
- Engaging constructively in discussion threads and Mentor Circle sessions.
- Respecting the intellectual contributions of other community members.
Prohibited activities include:
- Posting content that is unlawful, defamatory, harassing, or misleading.
- Attempting to gain unauthorised access to platform systems or other members' data.
- Using the Service for commercial solicitation without prior written consent from sablefins.
- Reproducing or distributing community content outside the platform without permission.
- Impersonating another person or organisation.
- Uploading content that infringes third-party intellectual property rights.
sablefins may moderate or remove content that does not meet these standards and may suspend access accordingly.
6. Intellectual Property
All platform design, original written materials, course structures, and branding associated with sablefins are owned by or licensed to sablefins. Nothing in this Agreement transfers ownership of such materials to you.
You are granted a personal, non-exclusive, non-transferable licence to access and use the platform content solely for your own learning and community participation, for the duration of your active membership.
You must not copy, reproduce, distribute, or create derivative works from sablefins content without our written consent.
When you contribute content to the community (discussion posts, shared notes, and similar), you retain ownership of that content but grant sablefins a non-exclusive licence to display and preserve it within the platform for the benefit of the community.
7. Payment Terms
Membership fees are denominated in Malaysian Ringgit (RM) and are as follows:
- Community Membership — RM 490 per year (individual)
- Mentor Circle — RM 1,950 per season (group of up to eight members)
- Community Partner Plan — RM 4,650 per year (organisational)
Fees are payable in advance for each membership period. Payment details and accepted methods are confirmed at the time of enrolment.
Refund policy: We review refund requests made within 14 days of a new membership period commencing, provided that access to member resources has not been substantially used. Mentor Circle fees are non-refundable once a season has begun, as circle groups are formed and schedule commitments made. Requests may be submitted to [email protected].
sablefins reserves the right to update membership fees with reasonable notice prior to the next renewal period.
8. Membership-Specific Terms
Community Membership: Provides access for one named individual for a 12-month period. Access is non-transferable and cannot be shared across multiple users.
Mentor Circle: Enrolment is confirmed once a circle group reaches its minimum size. Sessions are scheduled on a mutually agreed basis within the season. Members are expected to attend with reasonable consistency; persistent non-attendance does not entitle a member to a credit or make-up sessions beyond what the circle facilitator can reasonably accommodate.
Community Partner Plan: Provides organisational access for a defined number of staff seats as agreed at enrolment. The subscribing organisation is responsible for designating members and ensuring those members comply with this Agreement. Quarterly community briefings are conducted online and recordings are made available to plan holders where practicable.
9. Disclaimers
The Service is provided on an "as available" basis. sablefins makes no representations that the platform will be uninterrupted or error-free at all times.
Community discussions, shared resources, and circle conversations reflect the views and knowledge of contributing members and do not constitute professional, technical, financial, or legal advice. Members should exercise their own judgement when applying any information encountered through the platform.
sablefins does not endorse or verify the accuracy of every piece of member-contributed content.
10. Limitation of Liability
To the fullest extent permitted by Malaysian law, sablefins's total liability to you for any claim arising from your use of the Service shall not exceed the membership fee you paid for the current membership period in which the claim arose.
We are not liable for indirect, incidental, or consequential losses including loss of data, loss of business opportunity, or reputational harm, even if we have been advised of the possibility of such losses.
Nothing in this Agreement limits liability for fraud or any other matter that cannot lawfully be excluded.
11. Indemnification
You agree to indemnify and hold harmless sablefins and its team members from any claims, losses, damages, or costs (including reasonable legal fees) arising from your violation of these Terms, your use of the Service, or your interaction with other community members, to the extent such claims result from your own conduct.
12. Termination
Either party may end the membership agreement at any time. If you wish to cancel your membership, please contact us at [email protected]. Cancellation takes effect at the end of the current paid period; no partial-period refunds are issued unless a refund is approved under Section 7.
sablefins may suspend or terminate your access immediately if you materially breach these Terms and, where the breach is capable of remedy, you have not remedied it within a reasonable period after being notified.
Sections covering intellectual property, liability, indemnification, and dispute resolution survive termination of this Agreement.
13. Dispute Resolution
This Agreement is governed by the laws of Malaysia. The parties agree that the courts of Kuala Lumpur, Malaysia shall have non-exclusive jurisdiction over any disputes arising under this Agreement.
Before commencing any formal proceedings, we encourage you to raise concerns informally by writing to [email protected]. We aim to acknowledge informal complaints within 5 business days and seek a fair resolution wherever possible.
If informal resolution is not achievable, either party may refer the matter to mediation under the rules of the Malaysian Mediation Centre as a preferred step before litigation.
14. General Provisions
- Entire agreement: This Agreement, together with any enrolment confirmation, constitutes the full agreement between you and sablefins regarding the Service.
- Severability: If any provision is found to be unenforceable, the remaining provisions continue in full force.
- Waiver: A failure to enforce any provision on one occasion does not waive our right to enforce it on another.
- Assignment: You may not assign your rights under this Agreement to another person or entity. sablefins may assign its rights in connection with a transfer of the business.
- Notices: Communications to sablefins should be sent to [email protected]. We will communicate with you using the email address on your account.
15. Changes to Terms
We may update these Terms from time to time as the platform evolves. When we make material changes, we will notify active members by email and post a notice within the platform at least 14 days before the changes take effect.
Continuing to use the Service after the effective date of updated Terms constitutes acceptance of those changes. If you do not accept the revised Terms, you may cancel your membership before the new Terms take effect.
